THE HUB SERVICES - TERMS AND CONDITIONS
Service Provider: BeOneB OÜ (trading as "Be1B")

1. DEFINITIONS
"Be1B" or "Service Provider" means BeOneB OÜ, a company registered in Estonia.
"Client" means the business entity or individual using Be1B HUB services.
"The HUB" means Be1B's integrated platform providing access to multiple resold services including Payment Gateway, KYC/KYB Verification, Account Services, and Additional Services as defined herein.
"Payment Gateway Services" means electronic payment processing services enabling the Client to accept credit cards, debit cards, bank transfers, and other electronic payment methods through the Be1B platform, provided through licensed Payment Providers.
"Payment Provider" means licensed third-party payment service providers and payment institutions with whom Be1B has partnerships for payment processing services.
"KYC/KYB Services" means Know Your Customer and Know Your Business identity verification and compliance services provided on a pay-as-you-go basis through specialized verification providers.
"Account Services" means banking and payment account services provided by licensed financial institutions.
"Additional Services" means any other services offered through The HUB platform including but not limited to fraud prevention, analytics, reporting, and compliance tools.
"Transaction" means any payment instruction processed through Payment Gateway Services.
"Personal Data" means information relating to an identified or identifiable natural person as defined in GDPR.
2. SERVICE DESCRIPTION
2.1 Platform Overview
The HUB is Be1B's integrated service platform that provides access to multiple business services through a single interface. Be1B operates as a service aggregator and technology platform, connecting Clients with specialized service providers. Be1B does not act as a payment institution, financial services provider, or hold client funds.
2.2 Payment Gateway Services
Be1B facilitates access to payment processing services through licensed Payment Providers. Services include:
- Payment processing integration and technical infrastructure
- Access to multiple Payment Providers through single API
- Transaction monitoring and reporting dashboard
- Technical support and documentation
- Security and fraud prevention tools
- Settlement coordination and reconciliation

2.2.1 Payment Provider Relationships
Payment processing is performed by licensed Payment Providers. The Client acknowledges that:
- Be1B facilitates access but does not directly process payments
- Payment Providers have their own terms and conditions
- Payment Providers are regulated by financial authorities
- Be1B may switch or add Payment Providers based on business requirements
2.2.2 Payment Provider Disclosure
Know Your Business (KYB) Process:
- Upon registration, Client submits required business documentation for KYB review
- KYB verification is conducted by the applicable regulated Payment Provider
- Be1B forwards Client information to Payment Provider(s) for approval
- Provider Identity Disclosure: Once the KYB process has been completed and approved by the regulated Payment Provider, Be1B will disclose to the Client the name and details of the specific Payment Provider(s) assigned to process their transactions
- Until KYB approval, Be1B reserves the right to withhold Payment Provider identity for operational and security reasons
- Provider assignment may change based on transaction routing, business needs, or regulatory requirements
Client Acknowledgment:
The Client expressly acknowledges and agrees that:
- The ultimate payment processing relationship is between Client and the assigned Payment Provider
- Be1B acts solely as a technology intermediary and platform provider
- All payment processing, fund transfers, and settlements are performed directly by the Payment Provider
- Client must comply with all terms and conditions of the assigned Payment Provider
2.3 KYC/KYB Services
Be1B resells identity verification and business verification services on a pay-as-you-go basis. These services enable Clients to:
- Verify customer identities (KYC - Know Your Customer)
- Verify business entities (KYB - Know Your Business)
- Screen against sanctions lists, PEP databases, and adverse media
- Verify document authenticity and perform biometric checks
- Conduct ongoing monitoring and re-verification
- Identify Ultimate Beneficial Owners (UBOs) and corporate structures
2.3.1 Service Model
KYC/KYB Services operate on a pay-as-you-go basis with no subscription fees. Clients pay only for verifications performed.
2.3.2 Third-Party Provider Terms
KYC/KYB Services are provided by specialized verification providers. By using these services, the Client agrees to comply with the provider's terms and conditions, including data processing agreements and service-specific requirements. Be1B acts as a reseller and platform integrator for these services.
2.3.3 Data Processing
The Client acknowledges that:
- Personal data submitted for verification will be processed by the verification provider
- The Client acts as Data Controller and must obtain appropriate consent from data subjects
- Be1B and verification providers act as Data Processors
- Biometric data processing requires explicit consent under applicable data protection laws
- Data retention periods comply with AML/CFT regulations (typically 5 years minimum)
2.4 Account Services
Banking and payment account services are provided by Pecunia or other licensed financial institutions. These services include:
- Business accounts for payment processing
- Account management and reporting
- Integration with Payment Gateway Services
Important: Account Services are subject to Licensed entitys Terms and Conditions, which govern the account relationship, and service levels. . Be1B facilitates access to these services but is not the account provider.
2.5 Additional Services
The HUB may offer additional services including:
- Fraud prevention and risk management tools
- Business analytics and reporting
- Compliance monitoring and alerts
- API access and integration support
- Custom reporting and data exports

3. PRICING AND FEES
3.1 General Pricing Principles
Be1B operates on a transparent pricing model where fees are clearly stated on The HUB website at https://be1b.com/hub/ or displayed upon service and package selection at login. Pricing may vary based on selected services, transaction volumes, and service packages.
3.2 Payment Gateway Fees
Payment Gateway Services fees include:
- Setup Fees: One-time account creation and integration fees (invoiced, payment due within 15 days, must be paid before account activation)
- Transaction Fees: Per-transaction charges based on payment method and volume (automatically deducted from deposit)
- Monthly Platform Fees: Service access and maintenance if applicable (may be invoiced or deducted from deposit)
- Additional Fees: Chargebacks, refunds, special services

3.3 KYC/KYB Service Fees
KYC/KYB Services operate on a pay-as-you-go model:
- No monthly subscription or minimum commitment
- Pricing per verification check based on service type
- Different rates for KYC (individual) vs KYB (business) verifications
- Volume discounts available for high-volume clients
- Fees charged upon completion of each verification (deducted from deposit)

3.4 Account Service Fees
Account Service fees are determined by the account provider (Pecunia or other financial institutions) and are subject to their pricing schedules. Fees are displayed upon service and package selection at login or at https://be1b.com/hub/. Please refer to the provider's Terms and Conditions for complete fee information.
3.5 Deposit-Based Payment System
The HUB operates on a prepaid deposit system:
Deposit Requirement:
- Client must maintain a deposit balance in their Be1B account
- Minimum deposit amount specified during onboarding
- Deposit used to cover transaction fees and other service charges
- Client responsible for maintaining sufficient deposit balance
Fee Payment Methods:
- Setup and One-Time Fees: Invoiced separately, payment due within 15 days, must be paid before account activation
- Transaction Fees: Automatically deducted from deposit balance at time of transaction processing
- Service Fees: Automatically deducted from deposit balance
Deposit Replenishment:
- Client receives notification when deposit falls below minimum threshold
- Client must replenish deposit within 5 business days of notification
- Deposit can be added via bank transfer or credit card
- Processing may be suspended if deposit insufficient for fees
Insufficient Deposit Balance:
If deposit balance insufficient to cover fees:
- Transactions may be declined or held
- Services may be suspended without notice
- Client remains liable for all accrued fees
- Outstanding amounts become immediately due and payable
Deposit Refund:
Upon termination, remaining deposit balance refunded after:
- All outstanding fees and charges deducted
- Reserve period completed (typically 90-180 days)
- All chargebacks and disputes resolved
- Any penalties or damages deducted
- Deposit balance is not interest-bearing
- Deposit may be held post-termination until all liabilities resolved
3.6 Price Adjustments
Prices may be reviewed annually with 60 days advance notice. Price increases exceeding 15% allow Client to terminate within 30 days without penalty. Be1B reserves the right to adjust prices based on changes in underlying service provider costs or market conditions.
4. CLIENT OBLIGATIONS
4.1 Compliance
The Client must:
- Provide accurate transaction and business information
- Respond promptly to chargebacks and customer disputes
- Operate a legitimate business with all required licenses and permits for their industry
- Obtain necessary consents from end-users for data processing, especially biometric data
- Comply with applicable laws and regulations related to their business activities
- Not use the platform for prohibited or illegal activities
- Cooperate with Be1B's compliance and verification requests
4.2 Platform Compliance (Be1B's Responsibility)
Be1B is responsible for:
- Maintaining PCI DSS compliance for the platform infrastructure
- Ensuring GDPR compliance for data processing activities
- Implementing Strong Customer Authentication (SCA) per PSD2 requirements
- Maintaining AML/CFT screening capabilities through service providers
- Implementing fraud prevention measures at the platform level
- Ensuring secure data transmission and storage
4.3 Shared Compliance Responsibilities
Both parties acknowledge shared responsibilities:
- Client: Must use provided security features and tools appropriately
- Client: Must report suspicious activities or transactions
- Client: Must maintain accurate records for their business operations
- Be1B: Provides compliant platform infrastructure and tools
- Be1B: Monitors platform-level security and compliance
- Be1B: Provides necessary compliance documentation and reporting tools
4.4 Account Security
The Client is responsible for:
- Maintaining confidentiality of access credentials, API keys, and passwords
- Implementing multi-factor authentication when available
- Securing workstations and devices used to access the platform
- Immediately reporting suspected security breaches
- Not sharing credentials with unauthorized persons
- Regular review and update of user access rights
4.5 Prohibited Use
The Client must not use The HUB services for:
- Illegal activities or products
- Unlicensed financial services
- Cryptocurrency exchanges (unless approved)
- Adult content (unless approved)
- Unlicensed gambling or gaming
- Counterfeit goods
- Weapons, drugs, or controlled substances
- Multi-level marketing schemes
- Tobacco, cannabis products (where restricted)
- Processing transactions without proper authorization
- Misrepresenting business nature or activities
- Splitting transactions to avoid limits or higher fees
- Money laundering, fraud, or financial crimes
- Circumventing security measures or attempting unauthorized access
4.6 Business Information
The Client must:
- Provide accurate business information during onboarding
- Maintain current contact details
- Report material business changes within 5 business days
- Update risk profile when transaction patterns change significantly
- Provide documentation requested for compliance purposes
- DATA PROTECTION AND PRIVACY
5.1 GDPR Compliance
Both parties comply with GDPR and applicable data protection laws.
Roles:
- Client: Data Controller (determines purposes and means of processing)
- Be1B: Data Processor (processes data on Client's behalf)
- Service Providers: Sub-Processors
A separate Data Processing Agreement (DPA) governs specific data protection obligations and is available upon request.
5.2 Personal Data Categories
Personal Data processed through The HUB may include:
- Customer names, email addresses, phone numbers, addresses
- Payment instrument details (tokenized card numbers, bank accounts)
- Transaction data (amounts, dates, merchant references)
- Identity documents (passports, ID cards, driver's licenses)
- Biometric data (facial images, liveness detection)
- Business documents (incorporation certificates, ownership structures)
- Technical data (IP addresses, device information)
- Geographic data (billing/shipping addresses, location data)
5.3 Data Retention
- Minimum 5 years: Required for accounting, tax, and AML/CFT compliance
- Minimum 18 months: Required for chargeback defense
- Post-termination: 90 days unless legally required longer
Specific retention periods may vary by service and are subject to applicable legal requirements.
5.4 Security Measures
Be1B implements industry-standard security measures:
- PCI DSS Level 1 compliance for payment data
- Encryption: TLS 1.2+ in transit, AES-256 at rest
- Tokenization of sensitive payment data
- 24/7 security monitoring and incident response
- Regular penetration testing and vulnerability assessments
- Multi-factor authentication for platform access
- Access controls and audit logging
5.5 Data Breaches
Be1B will notify the Client within 72 hours of becoming aware of any personal data breach, including:
- Nature and scope of the breach
- Categories and approximate number of affected data subjects
- Likely consequences
- Remediation measures taken or proposed
The Client remains responsible for notifying regulatory authorities and affected individuals as required by law.
- SERVICE LEVELS AND AVAILABILITY
6.1 Be1B Platform Availability
Be1B targets 99.5% platform availability per calendar month for The HUB technology platform only, excluding:
- Scheduled maintenance (announced 1 week in advance)
- Force majeure events
- Third-party service provider outages (including Payment Providers, verification providers, account providers)
- Client-caused issues
Important Clarification: The 99.5% availability commitment applies solely to Be1B's platform infrastructure (API, dashboard, technical systems). Service availability for payment processing, KYC/KYB verification, and account services is governed by the respective service provider's service level agreements.
6.2 Service-Specific Performance
Payment Gateway Services:
The Client expressly acknowledges that:
- Payment processing service levels are defined and guaranteed by the Payment Provider, not by Be1B
- Each Payment Provider has its own Service Level Agreement (SLA)
- Payment Provider SLA terms are disclosed to Client after KYB approval
- Be1B makes no warranties regarding Payment Provider service levels
- Transaction success rates, settlement times, and processing availability are controlled by the Payment Provider
- Claims related to payment processing performance must be directed to the Payment Provider
KYC/KYB Services:
- Automated checks: 30 seconds to 5 minutes (typical)
- Manual review: 4-24 hours (typical)
- Complex KYB: 1-3 business days (typical)
- Actual performance depends on verification provider
Account Services:
- Performance governed by account provider (Pecunia or other institutions)
- Refer to account provider's terms for service levels
6.3 Support
- Business Hours: Monday-Friday, 09:00-18:00 CET/CEST
- Response Times: Critical issues within 4 hours, standard issues within 24 hours
- Support Channels: Email ([email protected]), support portal, phone (for critical issues)
7. LIABILITY AND INDEMNIFICATION
7.1 Limited Liability - Platform Provider Role
Be1B acts solely as a technology platform and service aggregator connecting Clients with third-party service providers. Be1B:
- Does NOT act as a payment institution, financial services provider, verification authority, or account provider
- Does NOT provide the underlying services directly
- Does NOT hold, transmit, or control client funds at any time
- Is NOT responsible for the performance, availability, or actions of ANY third-party service providers
- Provides the platform and integration technology on an "AS IS" basis
Be1B's liability is limited to platform availability and technical functionality only.
7.2 Maximum Liability Cap
ABSOLUTE LIMITATION:
Be1B's total aggregate liability under this agreement, regardless of the form of action (contract, tort, negligence, strict liability, statutory, or otherwise), is strictly limited to:
The lesser of:
- EUR 5,000 (five thousand euros), OR
- Total platform fees actually paid by Client to Be1B in the 6 months immediately preceding the claim (excluding transaction fees and service fees paid to third-party providers)
This cap applies to:
- ALL claims combined (not per incident)
- ALL causes of action
- ALL types of damages
- ALL parties claiming through Client
- ALL service providers (Payment Providers, verification providers, account providers, etc.)
- The ENTIRE duration of the relationship
If Client has paid zero platform fees to Be1B (transaction fees only model), Be1B's maximum liability is EUR 1,000 (one thousand euros) total.
7.3 Be1B Liability Scope - Extremely Limited
Be1B is liable ONLY for:
- Direct damages proven to be caused by Be1B's willful fraud or gross negligence in operating the platform technology itself
- Be1B platform API being completely unavailable for more than 72 consecutive hours (excluding permitted downtime)
- Be1B's intentional breach of confidentiality obligations
Be1B is NOT liable for:
- Platform availability below 99.5% (remedy is service credit only if applicable)
- Any negligence (only gross negligence or willful misconduct)
- Errors, bugs, or defects in software
- Data loss or corruption
- Security incidents (unless caused by Be1B's gross negligence)
- Any matters within ANY third-party service providers' control
7.4 No Liability for Third-Party Services - GENERAL EXCLUSION
CRITICAL: Be1B is NOT liable for ANY actions, errors, omissions, delays, failures, or decisions of ANY third-party service provider, including but not limited to:
Payment Providers:
- Payment processing failures, declines, or delays
- Transaction authorization or execution issues
- Fund transfers, holds, or settlement delays
- Chargebacks, disputes, or reversals
- Refunds or cancellations
- Payment Provider service outages or degradations
- Payment Provider fee changes, policy modifications, or service terminations
- Payment Provider insolvency or business failure
- Payment Provider regulatory issues or sanctions
- Transaction routing decisions
- Any payment-related financial losses
KYC/KYB Verification Providers:
- Verification results, accuracy, or processing times
- False positives or false negatives in screening
- Verification provider service issues or delays
- Changes in verification provider policies or pricing
- Verification errors or omissions
- Compliance screening results
- Identity fraud not detected by verification provider
- Data breaches at verification provider level
Account Service Providers (Pecunia and others):
- Account service issues, freezes, or closures
- Account provider fee changes or policy modifications
- Account opening denials or delays
- Fund access restrictions or holds
- Account provider regulatory actions or policy changes
- Account provider insolvency or business failure
- Banking service outages or errors
- Currency conversion issues or fees
- Account-related financial losses
All Other Third-Party Service Providers:
- Fraud prevention tool failures or inaccuracies
- Analytics or reporting service errors
- Compliance monitoring tool failures
- API or integration service outages
- Data provider errors or delays
- Any other third-party service failures, errors, or issues
General Third-Party Service Issues:
- Actions, errors, omissions, or policies of ANY third-party service provider
- Disputes between Client and ANY service providers
- Service quality, availability, or performance of ANY third-party services
- Compliance or regulatory violations by ANY service providers
- Data breaches, security incidents, or data loss at ANY service provider level
- Fee changes, price increases, or policy modifications by ANY service provider
- Service terminations or discontinuations by ANY service provider
- Insolvency, business failure, or wind-down of ANY service provider
ALL claims related to underlying services must be directed to the respective service provider. Be1B's role is limited to providing platform access and technical integration.
7.5 Third-Party Service Providers as Ultimate Service Providers
ALL THIRD-PARTY SERVICE PROVIDERS HAVE LIABILITY FOR THEIR RESPECTIVE SERVICES:
The Client expressly and irrevocably acknowledges and agrees that:
- Each Service Provider is Sole Responsible Party for Their Services:
- Payment Provider: All payment processing, settlements, chargebacks, refunds
- Verification Provider: All KYC/KYB results, screening, compliance checks
- Account Provider: All account services, banking operations, fund access
- Other Providers: All respective services they provide
- Be1B Has ZERO Liability for Service Provider Operations:
- Be1B provides only technical platform access and integration
- Be1B has no control over service provider decisions, operations, or results
- Be1B cannot reverse, modify, or influence service provider actions
- Be1B is NOT responsible for service provider performance, errors, or omissions
- Be1B makes NO warranties regarding ANY service provider performance
- All Service-Related Claims MUST Go to Respective Service Provider:
For ANY issues related to services provided by third parties:
- Transaction processing, failures, or errors → Payment Provider
- Settlements, chargebacks, refunds → Payment Provider
- KYC/KYB verification results or delays → Verification Provider
- Account issues, freezes, or access → Account Provider
- Any service-specific problems → Respective Service Provider
CLIENT MUST AND SHALL pursue claims, disputes, and remedies exclusively against the respective service provider. CLIENT EXPRESSLY WAIVES any and all claims against Be1B for matters that are the responsibility of third-party service providers.
- Service Provider Terms and Liability Frameworks Apply:
- Each service provider's liability limitations govern their services
- Each service provider's terms supersede these terms for their specific services
- Client bound by each service provider's liability caps and exclusions
- Be1B makes no warranties regarding ANY service provider performance
7.6 Comprehensive Exclusion of Damages
TO THE MAXIMUM EXTENT PERMITTED BY LAW, BE1B IS NOT LIABLE FOR:
Indirect and Consequential Damages (EXCLUDED ENTIRELY):
- Loss of profits, revenue, or anticipated savings
- Loss of business, contracts, or opportunities
- Loss of goodwill or reputation
- Loss of data or information
- Loss of use or interruption of business
- Cost of substitute services or procurement
- Any indirect, incidental, special, exemplary, punitive, or consequential damages
These exclusions apply EVEN IF Be1B has been advised of the possibility of such damages.
Additional Excluded Liabilities:
- Technology bugs, errors, or defects in Be1B platform
- Compatibility issues with Client's systems
- Internet, network, or connectivity failures
- Third-party infrastructure failures (hosting, CDN, etc.)
- Force majeure events
- Client's network, systems, or infrastructure issues
- Fraudulent transactions (unless Be1B's gross negligence)
- Inaccurate data provided by Client or third parties
- Client's business model or operations
- Client's customer disputes or complaints
- Client's compliance failures
- Market conditions or competitive factors
- Regulatory changes or enforcement actions
- Data breaches, security incidents, or errors at ANY service provider level
- Service outages, delays, or performance issues of ANY third-party service
- Financial losses arising from ANY third-party service provider actions or failures
7.7 Client Acknowledgment of Risk
Client expressly acknowledges and accepts that:
- Payment processing, verification services, account services, and all other services involve inherent risks including fraud, errors, delays, chargebacks, and financial losses
- Be1B cannot guarantee transaction success, verification accuracy, service availability, or processing times from ANY service provider
- Be1B cannot guarantee ANY service provider performance or availability
- Client is solely responsible for assessing and managing business and service risks
- Client bears all financial risk associated with their business operations and use of third-party services
- Client should maintain appropriate insurance for business risks
- Client uses all third-party services through the platform at Client's own risk
7.8 Client Indemnification - Comprehensive
Client agrees to indemnify, defend, and hold harmless Be1B, its affiliates, parent companies, subsidiaries, officers, directors, shareholders, employees, agents, contractors, licensors, and all third-party service providers from and against ANY AND ALL:
- Claims, demands, actions, suits, or proceedings
- Damages, losses, liabilities, costs, and expenses
- Attorneys' fees, expert fees, court costs, and settlement amounts
- Fines, penalties, and sanctions
Arising from or related to:
Client's Business Operations:
- Client's products, services, or business activities
- Client's customers, users, or end users
- Client's marketing, advertising, or representations
- Client's terms of service, policies, or practices
- Client's customer service or support
Client's Use of Services:
- Any use or misuse of Be1B platform or third-party services
- Client's integration or technical implementation
- Client's systems, networks, or infrastructure
- Client's employees, contractors, or representatives
Legal and Compliance Violations:
- Breach of these terms or ANY service provider terms
- Violation of any applicable laws or regulations
- Violation of third-party rights (IP, privacy, etc.)
- Prohibited activities
- Money laundering, fraud, or illegal activities
- Data protection or privacy violations
Payment and Transaction Issues:
- Chargebacks, refunds, or payment disputes
- Fraudulent, unauthorized, or suspicious transactions
- Customer complaints or disputes
- Failed deliveries or unmet obligations
- Verification disputes or challenges
Third-Party Claims:
- Claims by Client's customers or users
- Claims by ANY service providers
- Claims by regulatory authorities
- Claims by any other third parties
Data and Security:
- Data breaches from Client's systems or negligence
- Client's failure to maintain applicable compliance
- Unauthorized access due to Client's actions
Service Provider Issues:
- Claims arising from Client's relationship with ANY third-party service provider
- Disputes between Client and ANY service provider
- Client's failure to comply with ANY service provider's terms
Indemnification Procedures:
- Be1B promptly notifies Client of claim
- Client assumes full control and cost of defense
- Client may NOT settle without Be1B's prior written consent
- Client pays all costs, expenses, and settlements
No Limitation: Client's indemnification obligations are:
- Unlimited in amount (not subject to any cap)
- Unlimited in duration (survive termination indefinitely)
- Not subject to any exclusions or limitations
- Payable on demand
- Apply to claims related to Be1B AND all third-party service providers
7.9 Disclaimers of Warranties
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
Be1B PROVIDES SERVICES "AS IS" and "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:
- Warranties of merchantability
- Warranties of fitness for a particular purpose
- Warranties of title or non-infringement
- Warranties of accuracy, completeness, or reliability
- Warranties of availability or uptime (except as expressly stated in Section 6)
- Warranties regarding ANY service provider performance, availability, or results
- Warranties that services will be uninterrupted or error-free
- Warranties that defects will be corrected
- Warranties regarding verification accuracy, payment processing success, or account service availability
Be1B makes NO representations or warranties regarding:
- The performance, quality, or reliability of ANY third-party service
- The accuracy of ANY verification, screening, or compliance results
- The success rate of ANY transactions or operations
- The availability or accessibility of ANY third-party services
- The suitability of ANY third-party services for Client's specific needs
7.10 Limitation Period for Claims
SHORTENED CLAIM PERIOD:
ALL claims against Be1B must be brought within SIX (6) MONTHS from the earlier of:
- The date the claim accrued, OR
- The date Client knew or reasonably should have known of the facts giving rise to the claim
Claims not brought within 6 months are PERMANENTLY BARRED regardless of any statute of limitations that might otherwise apply.
This limitation applies to ALL claims of any nature against Be1B, including claims related to third-party service provider issues.
7.11 Client Waiver
BY ACCEPTING THESE TERMS, CLIENT EXPRESSLY WAIVES:
- Any claims against Be1B for ANY service provider actions, failures, errors, or omissions
- Any right to consequential or indirect damages
- Any claims exceeding the liability cap in Section 7.2
- Any claims not brought within 6 months per Section 7.10
- Any implied warranties per Section 7.9
- Any claims related to payment processing, chargebacks, settlements, refunds (directed to Payment Provider)
- Any claims related to verification results, screening accuracy, compliance checks (directed to Verification Provider)
- Any claims related to account services, banking operations, fund access (directed to Account Provider)
- Any claims related to ANY third-party service provider's services, performance, or results
- Any right to hold Be1B liable for third-party service provider insolvency, business failure, or service termination
8. SUSPENSION AND TERMINATION
8.1 Automatic Suspension
Services will be automatically suspended when:
- Deposit balance reaches zero or falls below minimum required threshold
- Insufficient funds to cover service fees
Services will automatically resume once deposit is replenished to required levels.
8.2 Immediate Suspension
Be1B may suspend services immediately without notice for:
- Suspected fraud, money laundering, or illegal activity
- Breach of these terms or service provider terms
- Excessive chargebacks (rate exceeds 1.5%)
- Regulatory requirements or service provider instructions
- Prohibited activities or misrepresentation
8.3 Voluntary Termination
Either party may terminate with 60 days written notice. Client may terminate within 30 days of material adverse changes or price increases exceeding 15%. Be1B may terminate with 30 days notice if Payment Provider or other service provider terminates the Client's account.
8.4 Effects of Termination
Upon termination:
- All processing ceases on effective date
- Outstanding fees deducted from remaining deposit balance
- Remaining deposit balance refunded within 30 days, subject to:
- All outstanding liabilities resolved
- Reserve period completed (90-180 days)
- All chargebacks and disputes resolved
- Any penalties or damages deducted
- Dashboard access: read-only for 90 days
- Data exported or deleted per Client request (subject to legal requirements)
- Client must remove Be1B branding within 5 days
- Chargeback liability continues for 180 days post-termination
8.5 Fund Holds and Reserves
During suspension or termination:
- Rolling reserve of 10-30% may be established
- Settlements held 30-90 days
- Post-termination reserve: 90-180 days for late chargebacks
- Deposit balance may be used to cover outstanding fees, chargebacks, refunds, reserves, and any other amounts owed
9. INTELLECTUAL PROPERTY
9.1 Be1B Ownership
Be1B retains all rights to:
- The HUB platform, software, and APIs
- Documentation and technical materials
- Trademarks, logos, and branding
- All improvements and derivatives
9.2 License to Client
Be1B grants Client a limited, non-exclusive, non-transferable, revocable license to:
- Access and use The HUB platform
- Integrate APIs into Client's systems
- Display Be1B branding per brand guidelines
License restrictions: Internal business use only, no sublicensing, no reverse engineering, terminates upon agreement termination.
9.3 Client Data
Client retains ownership of business data, customer data, and transaction data. Client grants Be1B limited license to process data solely for providing services.
10. GENERAL PROVISIONS
10.1 Governing Law
This agreement is governed by Estonian law. Exclusive jurisdiction: Courts of Tallinn, Estonia.
10.2 Dispute Resolution
Before litigation:
- Written notice describing dispute
- Senior representatives meet within 30 days
- Good faith negotiation for 30 days
- If unresolved, either party may litigate
10.3 Severability
Invalid provisions reformed or severed. Remaining provisions remain in effect.
10.4 Assignment
- Client may not assign without Be1B consent
- Change of control requires consent
- Be1B may assign to affiliates or successors
10.5 Force Majeure
Neither party liable for failure due to unforeseeable events beyond reasonable control. If continues 60+ days, either party may terminate.
10.6 Notices
- Must be in writing in English
- Email to registered addresses
- To Be1B: [email protected]
- To Client: Account registered email
- Deemed received 24 hours after sending
10.7 Modifications
Be1B may amend these terms with 30 days notice. Continued use constitutes acceptance. Client may terminate within 30 days if not accepting material adverse changes.
11. ACKNOWLEDGMENT
By signing, creating an account, or using The HUB services, Client acknowledges:
- Read and understood these terms
- Authority to bind their organization
- Provided accurate business information
- Will comply with all applicable laws and regulations
- Accepts fees and liability limitations
- Understands Be1B is a platform aggregator, not direct service provider
- Services depend on third-party providers
- Accepts associated risks
- Understands the deposit-based payment system and responsibility to maintain sufficient balance
11.1 Critical Acknowledgments Regarding Service Providers
The Client specifically acknowledges, understands, and agrees that:
Payment Provider Disclosure:
- The identity of the specific Payment Provider(s) processing Client's transactions will be disclosed to Client only after successful completion of the Know Your Business (KYB) verification process
- Payment Provider is the ultimate provider of all payment processing services
- Be1B acts solely as a technology platform and intermediary
- Client has a direct relationship with the Payment Provider for all payment matters
Claims and Disputes:
- Any and all disputes, claims, or issues related to payment processing, chargebacks, refunds, settlements, fund holds, transaction errors, compliance matters, or any payment-related financial matters MUST be directed to and resolved with the Payment Provider, not Be1B
- Payment Provider's terms and conditions govern all payment processing matters
- Be1B is not responsible or liable for Payment Provider actions, decisions, errors, or omissions
- Client waives any claims against Be1B for matters that are the responsibility of service providers
Third-Party Service Providers:
- KYC/KYB verification, account services, and additional services are provided by specialized third-party providers
- Each service provider has its own terms, conditions, and service levels
- Claims related to these services must be directed to the respective provider
- Be1B's role is limited to platform integration and facilitation

IMPORTANT NOTICES
Platform Aggregator: Be1B operates The HUB as a service aggregator and technology platform. Individual services are provided by specialized third-party providers. Be1B does not act as a payment institution or hold client funds.
Deposit System: The HUB operates on a prepaid deposit basis. Services remain active only while sufficient funds are maintained in the deposit account. Clients are responsible for monitoring and replenishing their deposit balance.

Third-Party Dependencies: Services depend on third-party providers. Be1B is not liable for provider actions, outages, or policy changes.
Payment Provider Disclosure: Payment Provider identity disclosed after KYB approval. All payment-related claims must be directed to Payment Provider.
Data Protection: Separate Data Processing Agreement available upon request.
KYC/KYB Services: Provided on pay-as-you-go basis. Client must obtain appropriate consents for biometric data processing.
Account Services: Subject to Pecunia Terms and Conditions [Link to be inserted].
Limited Liability: Be1B's maximum liability is EUR 5,000 or 6 months of platform fees (whichever is less). Be1B not liable for third-party service provider actions.
Terms Modifications: These terms may be amended with 30 days notice.
